The purpose of this policy is to protect the integrity of MICAP’s decision making process, to enable users of the company’s services to have confidence in its integrity, and to protect the integrity and reputation of volunteers, staff, directors and committee members of the company. The outcome of an independent review is equally as important for both manager and investor alike: the manager’s fortunes can rest on his receiving a fair review, and the investor’s financial well-being on his having the right information to choose the most suitable investment for his needs.
The Policy
All directors and employees (the Personnel) of M I Capital Research Limited (the Company) and consultants engaged by the Company undertake to try and avoid any conflict of interest between the interests of the Company on the one hand, and their own personal and business interests on the other.
The purpose of this policy is to protect the integrity of the Company’s decision-making process, to enable subscribers to its services, readers of its reviews and users of the MICAP Fund Finder to have confidence in its integrity, and to protect the integrity and reputation of Personnel.
Examples of conflicts of interest include:
- Personnel who are also engaged, under whatever terms, by an entity that is being reviewed by MICAP
- Personnel who have shares in a business that is under review by MICAP
- Personnel who are in some way connected to an entity, which has won a contract to provide services for the Company
Upon appointment Personnel will make a full, written disclosure of interests, such as relationships, and posts held, that could potentially result in a conflict of interest. This written disclosure will be kept on file and will be updated as appropriate.
In the course of meetings or activities, Personnel will disclose any interests in a transaction or decision where there may be a conflict between the Company’s best interests and Personnel’s best interests.
The MICAP Conflict of Interest Policy is meant to supplement the good judgement of those engaged by MICAP and should be respected in its spirit as well as its wording.
